As a group of personnel who seek acting on their own and individuality and creativity and diversify, the knowledge personnel are important in corporation performance. It is important to research on motivation tactics of the knowledge personnel for raising work efficiency and improving management and making the company occupy a dominant position. The paper combines theory with practice and further applying theory to practice. It studies the motivation tactics of the knowledge personnel based on motivation theory, and analyses corporation reality. The paper analyses the feature of the knowledge personnel, then draw a conclusion: for the knowledge personnel, they need reflecting their own value, seeking challenge, renewing their knowledge, seeking growing, enjoying wide support and having a joyful environment. Based on the analysis of the needs of the knowledge personnel, then draw a conclusion: in a company, the motivation tactics should satisfy the needs of the personnel, so as to make them work hard. Then the author considered that it would better use two methods, material motivation and non-material motivation, to incentive the personnel in a company. Specially, in material method, the company should give the personnel more wage, carry out the politics of welfare nimbly, protect their property right of the knowledge. In non-material method, the company should give the personnel a joyful environment, carry out flexible work-time, pay attention to the personnel' career-growth, educate the personnel more, encourage the personnel participating in policy decision and make the work more difficult.Based on the analysis on the motivation tactics on the knowledge personnel in the knowledge-based company X, the paper applied some motivation theory to the company X, and put forward a proposal that the company must use two methods to improve the efficiency. In material motivation, the company X should improve the politics of performance appraise, carry out the politics of welfare nimbly, and so on. In non-material motivation, the company X should build up the culture of corporation, give the personnel more chance to train, and think about the personnel' career-growth.
