Essentially, business M&A is a behavior to merge two or more business into one through signing a set of market agreements according to some specific laws, Integration is a process to regulate and merge all elements of a company into one. Integration is an art even. The research of integration is the request of the reality and enriching theory and practically significance for reforming of public sector enterprise and strategic reorganizing of public sector economy. In the west countries, schools including capital market school, strategy school, organizational behavior school propose different hypothesis and research methods according to their theory. Presently, the integration theory in china is un-mature for the late starting. However, carrying out of business M&A and integration dependent on the economic shift specific system and culture circumstance. In this paper, according to the economic reality in china and the successful experiences of west countries 1 proposed integration after M&A and organizational system integration on the basis of system theory, and analyzed detailed from several subsystems.This paper was divided into six parts:1, Thoroughly analyzed the concept of M&A in Chinese laws and west laws, set forth the basic motives of M&A.2, Began with the concepts and necessaries, set forth the basic models and analyzed the basic ideas of organizational integration and the theory frames.3, In this part ,set forth several models of organizational frames ,then optimized the models according to the Chinese situation .At last, brought forward the goal of integration-building learning organization.4, Began with the content of management systems.set forth the basic ideas of integration according to the situation of our country, and gave cases of China Finacial Group.5, Began with the deferent types and the adaptability of culture integration , set forth the tactic models and gave examples to each model.6, Deeply analyzed the process of personnel capital integration, and analyzed the cost of personnel capital integration, and give cases of the human resource and culture clash between WanKe corp.and HuaYuan corp.Postgraduate: Dai yurong Major: Agriculture Economic Management Superviser: Prof.Suo Zhilin...
