Studies On Corporate Governance Of Civilian-owned High-tech Enterprises In Xi'an

Corporate governance is the core of modern enterprises system. But the study on corporate governance of civilian-owned high-tech enterprises is deficient. So, the theory of corporate governance is entered on to find a route to perfect corporate governance system. Then, actuality of corporate governance in Xi'an is analyzed pertinently in order to face the problems and conflicts in practice. On this condition, problems are found, countermeasures are taken in expectation of availing the practice of corporate governance of civilian-owned high-tech enterprises.The focal point of two different orientations of corporate governance lies in the estimation for specific, which is found through analyzing the same of them. The specific of human capital and that of material capital is different in different stage of civilian-owned high-tech enterprises. Accordingly, the target of corporate governance should be treated with dynamic view. In this foundation, the source of control right is mentioned, and it is referred that exclusive resources must be paid attention. Next, it is referred that a route can be use to solve the problems of corporate governance: to make specific and exclusive resources unified.The actuality of corporate governance of Xi'an civilian-owned high-tech enterprises is analyzed from outside and inside. It is referred that a fair market is still not formed and the outside governance system is difficult to develop effect. Compared with traditional state-owned enterprises in the corporate governance structure, there is a notable feature that the property right is not state-owned and has concrete principal. While, the most civilian-owned enterprise has two problems: firstly, they depend upon family governance excessively; Next, modern enterprises system doesn't operate standardized.The countermeasures is taken to perfect the corporate governance system of Xi'an civilian-owned high-tech enterprises. They are, to develop more control part in the foundation of family control, to build board in order to scientific making policy to set rational reward structure, to construct team of principals. Besides, it is referred that treating family organization structure as aunadvanced one is simple excessively, and explaining the reason of existing with only culture is not overall. Family organization structure can reduce exchange costs effectively and promote efficiency of governance. Atthe same time, dear cost of system change constraints family enterprises opening the property right to society. So, it is unrealistic to eliminate family organization structure in civilian-owned high-tech enterprises, and they should achieve the fusion of family organization structure and modern corporate governance structure.
