The Study Of The Intelligence-Typed Enterprises' Security Option

Recently the stock option system has been commonly implemented by US enterprises, especially in the intelligence-typed industry. It is of strong inspiration to the high-level management personnel. As an enterprise inspiration innovation, it has been adopted by some Chinese enterprises, especially the intelligence-typed enterprises. However the situation in China is different from the occident to some extent. In order to make it practical and efficient in Chinese enterprises, there are still many problem to be studied and resolved on both theoretical and practical aspects. Up to now, it is still more suitable for Chinese enterprises, especially the intelligence-typed enterprises, to implement the security option, which is similar to the stock option inspiration system.Firstly we investigate the present development in domestic and foreign option inspiration and find the close relation between its great progress and the inside and outside environments in United States. It is recently introduced into China. Practically it is a little different from the stock option(their difference in detail sees the text). There is some inconvincible obstacles to execute the stock option in China. However the security option can overcome the problem and be a better choice.Secondly, the option is an internal system in enterprises. Its origin and development is highly related with the intelligence-typed enterprises. What on earth is the relationship between the option system and the intelligence enterprises or why the intelligence enterprises need the security option? To answer these questions, you need to research the basic characteristics of the intelligence enterprises, the human resources characteristics and innovative activity. The innovative is hard to be measured and need the close group cooperation. The human resource is ofprivate property right and the capital is of special use. For these reasons, the security option will become the way to define the property right of human resource and become an internal property arrangement for inspiration innovation. Furthermore, the security option system will firmly combine the salary and reward of high-level managers with the company long-term development. It will be useful to overcome the inherent conflict of interest in the proxy-agent relation between the management and the stock holders. Finally it will maximize the holder interest.Thirdly, the security option is on earth from an exotic. Furthermore there is no security option in China now. Therefore the executer will face many internal and external problems. Use the domestic and foreign experience and practice for reference, this paper bring off some relevant strategies in order to put the security option into use more conveniently.Besides these, the operation elements and principles in the security option are not largely different from the stock option. At last, based on the systematical study of the security option, this paper makes an empirical design of some consultant company and presents some reference for the companies in the same industry.
