Enterprise mergence and acquisition appeared in the early stage of economic development. There have been five waves of enterprise' mergence and acquisition on the global scale for more than one hundred years. To our surprise, enterprise mergence and acquisition has developed rapidly since the 1990s, showing some new characteristics. With the quick development of economic globalization, it is entering into a new developmental stage.For a long time, owing to fail to be set in a marketing environment, Chinese enterprises exists high risk during the process of mergence and acquisition, merely focusing on internal management in business administration. Only during the course of converting to market economy, do we find that enterprises are short of competition and core competence, which depend on in the long run. Therefore, we emphasize that enterprises should make use of outer transactional type of strategy to develop their core competence, which is significant for enterprise reform and sustainable development.This article begins with the theory of enterprise mergence and acquisition and core competence, demonstrating the present status and tendency of global enterprises' mergence and acquisition, analyzing the characteristic and issues of enterprise mergence and acquisition at present phase in our country, discussing the meaning, essence and feature of enterprise core competence. This article also puts forward the strategic model of mergence and acquisition on the basis of enterprise core competence, and verifies it through related cases.
