With the gradual establishment and perfection of market economy system, economic development in our country has achieved great accomplishments, which attracts worldwide attention. However, the undergoing reform of market economic system has highly broken concentrative and unified credit rules and system under planned economy, yet it still has not established credit system conformed to market standard. Due to the credit conduct lacks necessary budget constraint and system constraint, it has caused credit relations in financial market to distort seriously and general risk conduct on moral, also formed serious restriction of economy further developing in our country. At present, the phenomenon of "credit restricting" in banking industry of our country also financing difficulties in small and medium enterprises and private enterprises have also shown the problem. So it has become vital matter of immediate urgency for guaranteeing commercial bank to develop healthily and retaining national economy to increase, through eliminating the constraint of credit system, establishing and perfecting normative, reasonable and high-efficient legal person and clients system and rules. The paper has mainly discussed reasons of credit deletion as well necessary and restricting reasons of establishing legal person credit system, in the view of enterprise credit situation in our country; and centered in presenting the countermeasures and conceptions of constructing enterprise credit system in our country focused on legal person as subject, on the basis of enlighten brought out by analyzing credit crisis in America for establishing credit system in our country. The paper includes seven sections as followed:I. Yet with the evolution and development of social economy, the meaning of "credit" becomes narrow gradually and strengthens the meaning in economics category. Analyze on the situation of enterprise credit in our country through survey data.Enterprise credit is the trait and ability for enterprise strictly to observe contract. Inspecting the present situation in our country, the situation of enterprise credit is worried. The serious insufficiency of enterprise credit has brought great loss in Chinese economy. At present, the credit system of enterprise in our country has not truly established. Credit consciousness is faint; credit idea is distorting. The enterprise credit of the whole society exists serious problems. Quite proportions of enterprises escape financial debt with the opportunity of reform, and the amount is enormous; the disputes about contract and creditor's rights, also the racketeering cases of various companies and enterprises increased a lot; the phenomenon of inter-arrears with debts between enterprises is severe; the account information of enterprise is distort and the phenomenon of tax evading is rather severe; the problem of manufacturing and selling imitations is serious; the credit in intermediary mechanism is insufficient; financial credit is crisis.III.
