Twenty-five years has passed, the state-owned enterprises have attainedsome reform achievements, but the problems about the supervision andrestraint mechanism of the operators have become the obstacles of thedevelopment of the state –owned enterprises. The author analyzes therelated problems after much reading and comparing.This essay comprises three parts: preface, text and ending. The textconsists of four chapters:The first chapter mainly defines the relevant concepts, including thestate-owned enterprises' operators and the supervision and restraintmechanism. The author presents the clear definitions.The second chapter discusses the present state, existing problems andthe causes of the supervision and restraint mechanism about thestate-owned enterprises' operators.The third chapter concerns on the establishment and perfection of theinternal supervision and restraint mechanism of the operators. We should 3take the following measures: Paying more attentions to play theshareholders' role, granting more powers to the supervisory board andimproving the system of the supervisory board, establishing andstrengthening the system of the independent directors, establishing andperfecting the encouragement system of the state-owned enterprises'operators.The fourth chapter discusses the establishment and perfection of theexternal supervision and restraint mechanism of the operators. We shouldbuild up the competing market, including the capital market, managerialmarket and product market, regulate the intermedium organizations' action,establish the supervisory and administrative system on the state-ownedassets.State-owned enterprises' reform is a systematic project. It is mostimportant to establish and optimize the supervision and restraintmechanism of the operators. We should make great effort to attainsubstantial progress on the basis of the existing state.
