With the development of the state-owned enterprise reform and the establishment of modern enterprise system, the state-owned enterprise will realize the separation between ownership and management, which will result in problems of agency. How we can reduce the agent cost and improve enterprise efficiency by motivation and restriction mechanism, it will become a significant subject in the field of the economic theoretical research. And it is a very complicated project to set up an effective motivation and restriction mechanism in the state-owned enterprise. By using such relevant theories as economics, management, the law and sociology, this thesis deals with the theoretical basis of the motivation and restriction mechanism and the practical problems we are faced with under modern enterprise system; and carries on history retrospect and current situation analysis to the motivation and restriction mechanism of managers for the state-owned enterprise. In view of the above this thesis has come up with core and principle that the manager for state-owned enterprise of our country motivation and restriction mechanism to be designed, afterwards has put forward thinking and some concrete countermeasure to set up and perfect the motivation and restriction mechanism of managers.The thesis is divided into four parts:Part I : Theoretical investigation of the motivation and restriction mechanism of managers.At first it explained the basic meaning with the motivation and restriction mechanism, and then introduced concretely the main composition of modern enterprise system motivation and restriction, namely the rewarding mechanism, spirit mechanism, control mechanism, market competition mechanism and law mechanismi etc.. Then this thesis expounded the theoretical basis that the manager motivation and restriction has been structure, mainly including entrepreneur theory, transaction costs theory, property right theory, principal-agent theory and management motivational theory. It expounded the formulation and development ofthese theories, and the theory supporting of the manager motivation and restriction.Part II: Analyze and review the current situation of the motivation and restriction mechanism of the manager in the state-owned enterprise.This part has reviewed briefly the history of the motivation and restriction mechanism at first, have told mainly that the external environment condition of the motivation and restriction mechanism is the planned economy, its goal function is that government's utility is maximized. Then analyzed the current situations of the motivation and restriction mechanism, including to control on the internal personnel, 59-year old phenomenon, consuming on post, etc. analyzed the discussion.Part III: This part put forward the core and principle that the motivation and restriction mechanism of the manager in the state-owned enterprise is designed.We establish the motivation and restriction mechanism of the state-owned enterprise manager must consider whether state-owned enterprise trust the particularity of agent relation, through the analysis to this particularity, this thesis has drawn the core that the state-owned enterprise the motivation and restriction mechanism: The unity of residual claimant with residual control, that is to say it should have intact enterprise property rights. Then proposes several principles that are designed with the motivation and restriction mechanism of the manager in the state-owned enterprise.PartIV: Establish and perfect the motivation and restriction mechanism of the manager in the state-owned enterprise.This part has expounded separately some ideas and measures that the motivation mechanism and the restriction mechanism of the manager in the state-owned enterprise are established. In considering of the characteristic of incentive mechanism and our country's actual conditions, this thesis has proposed that manager's incentive mechanism of state-owned enterprise should rely mainly on the substance motivation and in order to be complemented with spirit motivation.
