Merger & Acquisition has never ceased since enterprises came into being. In developed countries five M&A waves have happened up to now. With deepening reform and opening up policy, M&A prevails nowadays and becomes more and more fierce in china. It has merely become the main stream of development and expansion. However, compared with inspiring M&A cases, the rate of successful M&A is not high in china and western countries if we make whether enterprise increases value after M&A as evaluation criterion. Research shows that little attention is paid to organization integration after M&A while too much is paid to assets operation. At present, many scholars have studied on organization integration from different angle, but integration theory is still relatively scattered and frame hasn't been formed. Hence, research on organization integration is the request of the M&A reality and enriching M&A theory. It is also the original intention and purposes that author make it as research object.The paper has studied emphatically organization integration from following several respects.Firstly, the paper points out that organization integration is a kind of organization change, hence, resistance that hinders integration's enforcement is not avoided. Proceeding from concept and type of the organizational change, the paper expatiates resistance's existence. Based on the analysis of resistance's concept and mechanism of emergence, the paper explains factors that affect emergence of resistance from individual, group and organization, and evaluates strong-weak state of resistance through fuzzy synthetically evaluation. Managers can know resistance well and weaken resistance purposely in order to integration's enforcement smoothly.Secondly, the paper discusses what the organization integration should do after M&A from three respects: enterprise governance structure, organization framework and management system. In the illustration of governance structure, the paper expatiates integration of directorate and high managers emphatically; In the illustration of organization framework, the paper puts forward corresponding mode of framework integration according to type of M&A; In the illustration of management system, according to the dependence on operating and autonomy degree level of object enterprise, the paper advances corresponding mode of management system integration.Thirdly, in order to carry out organization integration management efficiently, the factor which keep the integration enforcement is discussed, an implementation framework is put forward, at the same time, the personal management during the transition is expatiated.
