The research object of this article is state-owned assets of narrow sense (suck financial assets), which is the most important, most active, have the character of movement quality, hyperplasic quality and management style variety. Because of the particularity of state-owned assets, being given certain social function , How to make it run more efficient, not merely a global issue, but also a difficult problem of the reform of our country , it is also the main tasks of state-owned assets management Institutional change. The goal of the article is using the institutional economics and institutional change theory to explain this question, giving the view and suggestions of change, trying to perfect our country current" three layers frame" mode.Every institution has course of developing, The main contents of Chapter 1 is studying the changing process of state-owned assets management institution in our country, the institutional change in our country has experienced the administrative operation stage( 1950-1978), the management of enterprise type stage( 1978-1993), The company management probe stage to current" three layers frame" mode, from the state-run enterprise , state-owned enterprise to the state-owned assets. Every coin has two sides, Institutional change has made certain success, its reason is correct direction which optimized the institution, such as marketization of management of state-owned assets , the ruling of law in the management of state-owned assets and the decentralization of the management; But obviously the transition has not made the due result , the main reason is institution inertia, namely here if there is no external force in the course of system change , the institution and various kinds of subjects in the system will keep the already existing thinking mode and run the trend in old way. In our country the behavior of institution inertia in state-owned assets management institutional change is government having the preference to intervene state-owned enterprises' management, the state-owned enterprises like the administrative department, the enterprises' staff afraid of the risk and without innovative consciousness, etc.The creation of new institution should not only absorb the positive factor of the old institution but also draw lessons from the foreign related institution, which give some suggestion to our institution setup; this is the main content of chapter 2. In order to make the country representative, choosing the most developed country -U.S.A., the oldest capitalist country -Britain, the France, which has a lot of state-owned enterprise, The Southeast Asia country Singapore which has similar culture background with China. We can draw some essential features of state-owned assets managementinstitution, such as, the ownership of a share type handling of state-owned assets, the classification handling of state-owned assets and the strict supervision handling of state-owned assetsChapter 3 though the vertical , horizontal comparison empress, put forward fundamental goal. the principles and main thought of the state-owned assets management institution setup, There are four principles ,the first is institution setup should according to our country true state of matter, the second is the institution setup should be in conformity with market, the third is the institution setup should let the rule of law be in advance of it, the fourth is the institution setup should separate government function from enterprise management ,The train of thought has two points: The first is chaining the government and market, through the buffering area -Assets management organization, achieve the gradually transition of the function, attaining the purpose; The second is to combine with the macro functions and micro goal, the key lies in classified managed, Adopting different modes to the state-owned assets of different nature.Chapter 4 is about the appraise of the present "three layers frame "mode, its production, basic content, way of institutional change and its advantage.
