Cross-border M&A is booming fast recently as a mode of FDI. Developed countries take the most portion of cross-border M&A. Developing countries are taking more part in the M&A these days, but they are often the sellers. As to China, we have been at the top of FDI inflows in the world. FDI have pushed Chinese development mostly. But if we compare it with the world level, we will find that there is a gap between China and other countries.Developing host countries have doubts with the results of cross-border M&A and they must complete the tasks of realizing the rise of domestic economics growth and transforming of economics growth styles. Now how to use the foreign investments efficiently becomes an important goal of developing countries.Aiming at the situation of developing countries M&A sales, the thesis tries to give an efficiency-oriented cross-border M&A model, analyze the positive effects of cross-border M&A on the developing countries economics efficiency. These study and research helps us to comprehend better the effects of foreign M&A on china and guide the direction of the reform of the M&A institution in the view of the maximum of national welfare.
