The thesis analyses the characteristics of family business management in China and the world, by some means of the describing statistics the comparing analysis, the case analysis, the accounting analysis and the case proving etc. It studies the common problems in corporate governance for middle and small enterprises by HG company, such as the firm property rights, principal-agent and incentive. Comparing the corporate governance with abroad family business, the thesis tries to find the theory and method adopting china family business and puts forward that the family business should establish how corporate governance structure now. Chapter 4 is directed at analyses some problems of HG company, using accounting analysis and the case proving methods etc. Chapter 5 is some proposal for HG corporate governance structure in the aspects of company organization, principal-agent, enterprise culture, raise funds. Chapter 6 is the conclusion to construct modern family businessin China and deficiency of the thesis.The conclusion of the thesis is to carry forward the fine tradition of steady and bearing, incorporating the advanced experience, strengthening corporate governance, developing with the times, and constructing modern enterprise.
