Merger and Acquisition has been booming all over the world and becoming an un-holding back tide. However, comparing with the huge sum of M&A and the great number of such cases, the proportion of successful cases seems not so high. What's wrong with it ? The insufficiency of integration management after M&A not only prevents synergy from acting to make the effect of 1+1>2, improve its competitive power, but also probably leads to the collapse of corporate restructuring.Because of the need of getting rid of surviving crisis of Baiyunshan Pharmaceutical Company and bucking up marketing power by Guangzhou Pharmaceutical Group respectively, Guangzhou Pharmaceutical Group embarked on a restructuring of Baiyunshan Pharmaceutical Company in the end of 2001. Could the restructured Baiyunshan achieve its persistent developing? The key lies in how to integrate the resources of both parties to exert synergy effect and engender enterprise's competitive superiority. This paper will put up a discussion on the issue of integration managementafter restructuring Baiyunshan Pharmaceutical Company.Firstly, we will analyze the motivation of restructuring Baiyunshan Pharmaceutical Company and the problems after its reorganization.Secondly, from the limitation of post-restructuring integration management researches at home and abroad, we will put up an analyzing framework of integration management: "strategy-culture- structure".And basing on this study, we will come up with the ways of integration management on Baiyunshan Company's strategy, culture, and structure after its reorganization . For strategy integration, starting with analyzing the changes of inside and outside conditions, we will put forward the integrating ways of the company mission, taiget, whole strategy target and operational strategy. For culture integration, we will bring forward the mode of culture integration and the corporate culture which should be advocated by Baiyunshan from the differences and similarities of both Baiyunshan and Guangzhou Pharmaceutical group. For structure integration, we will discuss the integration management of enterprise governance structure, research and development system and marketing system through analyzing their problems.
