In China of today, the question during the building of modern enterprise system in state-owned corporations includes two aspects: one is the insufficiency of encouragement and supervise to managers) the other is nonstandard of the corporate governance structure. This question has been the huge obstacle during the course of the development of the stated-owned corporations.In order to propel the reform of the stated-owned corporations, we should try our best to do two things: the first is to set up positive and reasonable system of encouragement and supervise to managers; the second is to build the standard corporate governance structure. Only by this means, we can promote the efficiency of the state-owned corporate, and prevent the leak of the stated-owned assets.The paper takes Shanghai Datun Energy Holding Co.Ltd as example, on the basis of anatomy the problem, such as corporation fadier fabric, inside management, sum up the operator' s experience about Incentive and Constraint Mechanism at inside and outside company. Make Principle-Agent Theory as core, make incentive consistent Incentive Theory, Modern Stewardship Theory, Reputation Effect Theory, Rather Effect Theory as assistance, make rather complete and in-depth study to operator' s incentive and restrictive problem.Study of the paper indicated that the operator' s of Shanghai Datun Energy Holding Co.Ltd incentive and constraint mechanisms had shortages at present. It is important reason lead to some phenomena, for example short-time action, management corruption. The paper proved that it can find a client and agent of incentive consistent through analysis the the ory, and combination with the fact, design a suit of it. At incentive mechanism, a annual salary model designing resolve agent hazard efficiently. It make the operator come into being community with corporation on duty, right, profit for the aged medicaltreatment ensure system. It reinforce the mechanism' s validity, long-time and maneuverability. On constraint mechanism, through building up rigid merit system, supervise system and selection system, building up fairing competitive condition for the operator. The intention of this paper is to play the role of studying Operator's Incentive and Constraint Mechanism.
