From The 21st century, we have strided forward the Knowledge-Economy age. The most important characteristic for this age is to think highly of talent men. As the most unusual human resource, the operator's activity will affect the operated condition, and whose behavior style and value concept will effect the developing direction of the enterprise directly. Under the condition of existing benefit target differences between the owner and operator, how to arouse the activity of operator, make him choice the behavior and decision benefited to the owner is just the meaning when we research the incentive mechanism of operator, and which is also very important to reality.This paper explains detailedly about the methods, contents and conclusions the governance science and economics in studying this article. A theory of needs order, a theory of double factors, the game theory and principle-agent theory make up of the main theory foundation of study in this paper.Using the method of normative analysis, this paper analyzes the optimal incentive contract systematically points out that there is the problem for long-term incentive insufficient in our mechanism, and then discuss the concrete step and method for the material and un-material incentive deeply.In the material incentive, we have studied the future right If stock share and the welfare rule; in the un-material incentive, we have demonstrate the reputation incentive and competetion incentive. Another, we have raised a set of concrete new ideas in this paper: about the consumption on the job, "the classified report combine with money rule" is brought forward; about the welfare rule, "awarding the medical treatment insure to the operator" and "the operator welfare compensation after retire plan" is brought forward; about reputation incentive, "AAA credit evaluation rule to the operator" is brought forward.We construction the incentive combination model, the operator achievement evaluation model in the paper. Identifying the measure of material and un-material incentive in the incentive combination, and then making a conclusion that un-material incentive may save the incentive cost; Demonstrating the effectiveness of the future right of stock share; Pointing outthe dififerent between the enterprise achievement and the operator achievement; Demonstrating the reasonableness for the weak correlation between them, and pointing out that there is strong correlation between them.
