Along with the gradual reform of economic system, how to solve several important problems during the process of the improvement of state-owned enterprises income-distribution system reasonably relates to the victory or defeat of the reformation, as much as the economic stability and development. Therefore, the systematical study on this topic has theoretical value and realistic meaning, especially basic theories of the distribution according to labor and knowledge and some problems in practice.In addition to the introduction and the conclusion, this issue sets five chapters on the research. Chapter 2 focuses on main problems, improving principles and a few relations which should be handled in current income-allotment institutional arrangement of state-owned enterprises; Chapter 3 analyses the economic results of the distribution according to labor amount and ameliorative problems about the distribution according to labor through applying for The Economic Person's Theories; Chapters 4,5 and 6 are key points of this issue, and respectively study several academic and practical problems about converting shares in the distribution according to knowledge, stock options and yearly salary system.The main standpoints and innovations of the issue are as follows: (l)The creative manpower capital is the root that the business obtains the competitive advantage in the new economic ages, and knowledge capital owners should share surplus rights of the enterprise with finance capital owners. So the amelioration should pay attention to the arrangement of distribution according to knowledge; (2) During the process of distribution according to labor, it is common to decide the personal income according to the labor amount. Nowadays, quality is attached more and more importance, therefore, distribution should be accord with labor quantity and some part of the worker's salary could be converted into shares; (3)In fact, converting the innovative human capital into shares is a kind of rights and interests demisability patterns ,which is a kind of reorganization of the ability of excess income power and it is also have certain risk; (5) Stock option is a kind of incentive mechanism which is used to ecourage the manager. There is no problem in itself. The main problem in practice primarily lays in the manager's abusing their information advantage, cheating the owners,therefore,a mechanism of rectification should be established; (6) The year-salary mechanism has the some meanings of distribution according to knowledge. The cardinal number in the salary is not relevant inherently with the bonus. The way to improve the incentivefunction of the year-salary mechanism is to convert the bonus into some kinds of option.
