In the first ten years of reform and opening-up in our country, township and village enterprises (TVEs)grew at top speed, which has caused many scholars' positive responses, however, after entering the 1990s, with the change of the outside market environment, TVEs had presented the situation that development speed slowed down and the profit rate dropped.To analyse the causes of this phenomenon, the text introduced the theoretical foundation of property rights reform of TVEs: The contractual theories of enterprises. The signification of the theory can be summarized with the following three sentences: (1) enterprises is contractual; (2) the contract is not completely ; (3)The importance of ownership of enterprises. Taking Wujiang as an example, this text analyses the predicament of TVEs and the route of TVEs property rights reform, and explains the mechanism of TVEs property rights reform in terms of enterprise's theory, and points out the drawbacks of arrangement of ownership of enterprise of TVEs, the transitivity of " contract system" reform , " the joint stock cooperative system" reform, and proposes that a way out of enterprises lies in privatization. Finally, this text compare enterprise financial indexes before and after the reform , and also appraises enterprise decision-making power in operation and benefit after reform, the results is that no matter total financial index or individually investigated enterprises benefit and decision-making power in operation, the performances of after reform should be higher than that of before, and the reason for the improved benefit had carried on questionnaire investigation, the majority thinks reform has improved the enthusiasm of the staff and operator.
