The reform of state-owned commercial banks is a great task in Chinese financial field. It is the key task to establish a vital and efficient corporate governance. In this article ,the theory of commission and agent, the theory of property and the theory of correlation of benefits are exerted to expatiate on the definition, the nascence, and its development of corporate governance. The principal of corporate governance used in China and foreign countries is compared. We also analyze the corporate governance models of Deutsche Bank and Citibank which can guide the reform in China. By analyzing the situation of corporate governance of state-owned commercial banks, the benefit and loss of Chinese joint-stock commercial banks in corporate governance, We put forward a systematic and comprehensive way to solve the problems.The characteristics of article is:i) The commission and agent theory and the property theory are analyzed. We consider the correlation of benefits theory as a patulous conventional commission and agent theory that provides a vivid venation of theory development and an natural join of theories.ii) Bring the property system construction of state-owned commercial banks into the category of corporate governance . The property system construction is composed of two sections: the proprietary perspicuity and the proprietary diversity.iii) Put forward a systemic and comprehensive countermeasure which is practical to the corporate governance of state-owned commercial Banks...
