With the development of digital technology and net technology, Electronic Commerce has made rapid progress ,which will have great influence on people's work and life. It has severely attacked the international trade laws based on writing, by replacing writing with electronic one. Therefore, it seems of great importance to study the legal issues on Electronic Commerce. Some new problems may arise, such as the receipt and confirmation of electronic contracts, offer and acceptance, establishing time and place, writing and signature. At the same time we also have to face in legislation process, the problems of electronic evidences, jurisdiction and the duties of the third person.This paper explains the concept and the development of Electronic Commerce, as well as some legal issues it involves. It also introduces the legislation about Electronic Commerce in other countries and presents UNCITRAL Model Law on Electronic Commerce and Model Law on Electronic Signature. The paper points out the legislative strategies and legal principles of the two model law. It makes a thorough study on the development and legislation about Electronic Commerce, with proposals put forwards by the author. It is significant to make clear these questions, whether engaged in Electronic Commerce or the IT industry management, as well as scientific research exploiting.
