Informal organization is a very complicated social phenomenon, which has been studied by many domestic and foreign scholars from different angles. In summary, however, the study has only covered its formation, configuration and function, but there is lack of study of the reasons why members of formal organizations join informal organizations.The process of the formation of informal organizations is also the process of contacts between people. There are two purposes when people contact, one is emotional contact, which is for closer communication; the other is profit-mined contact, which is for getting more profits. As a result, informal organization can be divided into two kinds as mentioned above. For any organization, its efficiency depends on the corporation and coordination among its members. There are two kinds of relationship among members of an organization, one is formal relationship regulated clearly by the system and rules of the organization, and the other is informal relationship which is a kind of reliable relationship network associated by people's feeling. To every member, the material requirement he can get is restricted by all the regulations set by the organization, however, because of the existence of some loopholes, people can use this chance to meet their need to get more profits, which is their reasonable choice.In different formal organizations, the emergence of informal organizations shares some common reasons, as well as special ones. The existence of informal organizations depends on the limitation of formal regulations in formal organizations. This paper mainly focuses on state-owned enterprises, analyzing the relationship between the limitation of rules and formation of informal organizations, as well as its impact on formal organizations. It also proposes scientific managing methods on informal organizations from the view of government and enterprises, with which people can make full use of its good effects, avoiding its bad effects so as to better promote the development of enterprises.
