Aiming at probing the relation between non-governmental organizations (NGOs) and the construction of law, this paper, based on the analysis of interactions among NGOs, state and market, attempts to interpret the possible functions of NGOs in the construction of law in present China, and points out that legal system should be adopted to promote the development of NGOs.The first part introduces the general provisions of NGOs. Countries over the world having not forged a unified concept for NGOs, the paper adopts the concept of NGOs defined by United Nations Economic and Social Council resolution, that is to say, NGOs are any non-profitable, voluntary organizations at local, national or international levels which are not based on any agreement between the governments. Despite the differences in defining NGOs, non-government, non-profit, voluntariness and legitimacy are the common characteristics of these organizations.The second part analyzes the interaction and collaboration among NGOs, state and market. First, it describes the general situation of the interaction and collaboration among NGOs, state and market. The relation between state and NGOs are both competitive and cooperative, with mutually cooperative tendency more apparent in a society of increasingly complex social relations; The NGOs and market will conflict because of different interests, but the two sides can cooperate on a"win-win"basis. Second, this part analyzes NGOs under global governance structure. With growing trend of globalization, the emergence of global affairs and the decline of national state provide opportunities for NGOs to take part in international affairs.
