Legal Study On Corporate Social Responsibility

Corporate social responsibility involves many fields of subjects since it comes into being in the early twentieth century. As a new theory, its connotation is controversial. Whereas practically or theoretically, it has become an inevitable trend for companies especially big ones to undertake certain social responsibilities. On the condition that domestic companies lack of sense of social responsibility, the author suggests that legal system of corporate social responsibility should be established to safeguard the realize of it.In the paper, the author discusses the origin and theoretical basis of corporate social responsibility, probes into its concept, characteristics and contents. By clarifying the value of justice, efficiency and order containing in the concept of it, the author proves its rationality. The analysis of overseas legal practice on corporate social responsibility provides experience for us. On the basis of comparison between the external restriction and internal participation , the author concludes that external restriction is a more effective way to realize corporate social responsibility.
