Research On The Social Responsibility Of Corporation

The Corporation is a product of socio-economic development to a certain stage, with its profit for the purpose and plays an important role on the socio-economic development. In modern society, the corporation has become a basic subject of the market, and a most important economic strength. With its increase of economic strength, however, the corporation's negative impact in socio-economic development is also increasing, such like issues of environmental pollution, consumer fraud, and infringement of the legal rights and interests of employees. These social issues have begun to make social responsibility of corporation by widespread concern. As the focus of various interests bodies, the corporation shall pursue to maximize its shareholders' interests while take care of its relevant parties. Only in this case could the corporation accelerate its achievement and do better in the establishment of harmonious society and sustainable development.One of the outstanding points in the revised Companies Law of China is the regulation of Social Responsibility of Corporation in the General Provisions. Article 5 states that "In its operational activities, a company shall abide by laws and administrative regulations, observe social morals and commercial ethics, persist in honesty and good faith, accept supervision by the government and the public, and assume social responsibility." However, the research on this topic is still very weak in China. In order to give an answer to the requirement of the modern society, named as "Research on the Social Responsibility of Corporation", this thesis starts from the theory of this topic and gives a relative full discussion on the relevant problems of this topic.This thesis is divided into five sections. Section one introduces the source and development of Social Responsibility of Corporation and tries to define this theory. The writer tries to clarify the reasons of the opposite parties' opinions on this theory by means of introducing the very beginning of Social Responsibility of Corporation and analyzing the argument on it. The writer also makes her own comments and gives a relative scientific definition of this theory based on the existed opinions. Section two introduces the legal practice of Social Responsibility of Corporation in USA, UK, German and Japan separately. Section three focuses on the theoretical basis of Social Responsibility for Corporation. The writer analyses the reason why the Corporation should take Social Responsibility in four aspects, the nature of Corporation, the social status of Corporation, the function of Corporation and the relevant parties of Corporation. Section four introduces the content of Social Responsibility of Corporation in modern world including the responsibility to employees, consumers, environment and resources, and its located community, etc. The writer holds that Social Responsibility of Corporation is a historical and open conception. The content or main point would be different with different period. With the development of society, Social Responsibility of Corporation is likely to become more extensive. Section five researches on the current situation of legislation on Social Responsibility of Corporation and presents several valid ways to make the Social Responsibility of Corporation be implemented. Moreover, as the listed companies' tremendous impact on the modern society, the writer realized that more attention should be paid to the implementation of Social Responsibility of the listed companies. In this section, the writer advised three suggestions to make the implementation of Social Responsibility of Corporation. Firstly, introduction of the relevant parties of the corporation as the exterior director is a valid way to better the management structure to implement the Social Responsibility of Corporation. Secondly, authentication system of Social Responsibility of Corporation should be established based on the situation in China in order to standardize the Social Responsibility of Corporation in the world. At last, legal system of Social Responsibility of Corporation could be established and bettered under the circumstance of learning the foreign experience in this field. To research on the Social Responsibility of Corporation more comprehensively and to better the relative legislation in China could accelerate the construction of a harmonious and ruled by law society.
