Study On Legal Status Of State-owned Assets Management Company

This thesis is focused on the legal status of State-owned Assets Management Company by reviewing the history of State-owned Assets and its supervision system with the horizontal view of company act and the vertical view of Triple-frame of State-owned Assets supervision-management system. This thesis is divided into 4 parts. First, it discusses the definition of State-owned Assets and its governance, supervision and management system. Second, it goes to the definition, corporate governance structure and check-balance system of State-owned Assets Management Company. Furthermore, it comes to its legal nature and function. Third, it discusses the legal status of State-owned Assets Management Company by analyzing its external contact and its relationship with State-owned Assets Supervision and Administration Commission and State-owned Enterprises. Finally, it comes to the conclusion and direction of research in the future.As a product of State-owned Enterprise reform, State-owned Assets Management Company, belongs to Wholly State-owned Company and One-member Company. Its shareholder is unique and specialized. Among State-owned Assets Supervision and Administration Commission, State-owned Assets Management Company and State-owned Enterprises, it has set up the relationship of supervision, investment and authorized management by the system of authorized management. Actually, the relationship of authorized management is trust of State-owned Assets. As an independent incorporated company, trustee and supervisee of State-owned Assets authorized management, it will accept not only the rule of civil law, but also the rule of public law. Therefore, State-owned Assets Management Company has the compound status and nature in public and civil law.
