The expansion of corporation develops and promotes the corporate social responsibility (CSR). Following the global economy goes deeply; it has been greed that the company especially the Multinational Corporation must take up more and more social responsibility on the host country. The multinational corporation's code of conducts, as the one of the essential tool to hold CSR, has aroused the concern of the international community. So we have to concern the CSR of the multinational corporation. The implementation of the code of conduct is good for the protection of our labor rights. The code of conduct brings us many opportunities, as well the challenges. So we should try to make it our guide to perfect the implement of the code of conduct and CSR.The content of the thesis is divided into four major parts altogether: Chapter one introduces the basic theory of the code of conduct and the multinational corporation's CSR. Especially analyze the law character of the code.In chapter two, the thesis further analyzes the content of code of conduct. All kinds of the code of conduct are different, but the content is basis on international labor standards. Then the thesis expounds the international labor standards. At last, introduces the type of the code of conduct: internal and external code of conduct. Take the"wal-mart standard for suppliers"and"social accountability 8000"as example to introduce the difference of two type of the code of conducts.In chapter three, make a concrete analysis of the limits of the code of conduct. Through introduces the code of conduct's operational model, analyze the problems and limitations. The last chapter introduces the present conditions of the code of conduct and CSR in China. In order to say the implementation of the code of conduct is good for the protection of our labor rights, but is limited. Finally, give some suggestions on how to implement the code of conduct, and protect the labor's rights more effectively.
