Social sustainable development can't advance without education, since education is the top priority. Worldwide countries they all put education, especially higher education on the position of national development strategies. Currently, our country's higher education career is facing the tremendous opportunities and challenges. How to hold and deal with them is related to the success of China's higher education career development, what can we do to succeed in the tide of the crowd education reform?The Paper emphatically states education between China and Japan in order to compare with each other and gain some new conclusion. Since 2004, Japan prescribed National University earn an independent legal personality in the form of legal documents, enjoying great autonomy, which is considered as the utmost significant in Japan's higher education reform in 21st century. The promulgation of the corporate law, to Japanese higher education management of the highly centralized system, endow new vitality.In 2003, government introduced " The National University Legal Law ", and decided to carry out corporate reform in the nationwide of National University from April 2004, proclaimed national universities is no longer part of government organization, but to become independent operation of independent legal person, National Universities possess great freedom in teaching and scientific research, management, financial and social relationships and so on."The National University Legal Law" has six pieces, namely general, organizations and business, medium-term target, financial and accounting, miscellaneous, penalty altogether 41 items and bylaws 22, which METX (Ministry of Education, Culture, Sports, Science & Technology)confirmed the medium-term target for six years, by 2010,corporate reform promoting six years, has reached the medium-term target,the fixed number of year, so, we are can't help thinking how much the implementation of corporate reform met the desired goals? What effect schools have made in various aspects? What opportunities and challenges did the reform process again? Therefore, based on the case of Tokyo University, mainly from four aspects to elaborate corporate reform of school management of National University, including school funds, teacher's teaching and research and off-campus cooperation, comprehensively and objectively, to expounded the achievements of corporation. Thus on this basis, points out new confused problems in the process of National University legal implementing.Therefore, the study play an important enlightenment role in running autonomy and intensify self-raised funds of China's higher education, it is also the meaning of this study.
