Hegel and Marx play an important role in the western history of civil society. For Hegel, he made the dual division of the civil society and the political state successfully, and put forward a real theory of contemporary civil society; For Marx, in the process of deeply researching of it, he founded a series of fundamental principles of historical materialism, and then established the materialist conception of history entirely. This thesis, will attempt to make deep and round analysis on the Hegel's and Marx's civil society, and explore its great meanings of criticism.First of all, this thesis discusses the traditional theory of high-integration of the civil society and the political state. On the basis of that, the paper explores Hegel's criticism and construction of civil society theory in traditional and modern sense individually and thoroughly. Hegel's civil society theory had an important effect on Marx, which Marx inherited and transcended it through the framework of connecting philosophy of law with political economics .Through the criticism of legal philosophy, Marx corrected the fact that Hegel reversed the relationship between the political state and the civil society, and described the concept of the civil society and the relations between civil society and state scientifically. He drew a conclusion, which was opposite to Hegel's, it was not the state dominated civil society but the latter did the former. On the basis of that, the germ of the materialist conception of history was achieved. Through the criticism of political economics, Marx established the materialist conception of history finally and entirely.
