With the expansion of the social functions and the scale of organizations, the complication of the internal structure and more and more extensive and in-depth ties with the society, the management activities of universities become increasingly complex and difficult to grasp. It has been an important part of higher education innovation to implement university internal governance through reforming and improving the modern internal governance structure of universities.University is a typical knowledge-based organization or intelligence-intensive organization, whose property rights characteristics and governance structure are closely related to intellectual capital. The paper, from the perspective of intellectual capital investment, claims that the university's internal governance structure actually reflects the property rights characteristics and allocation structure of intellectual capital, and the process in which internal governance structure of universities establishes and changes is the one in which intellectual capital investment and value realize. Starting from the vision of intellectual capital investment, the reform and improvement of universities' internal governance structure can be realized through the reform and innovation for the elements of the university organizations, and distributing the academic power and executive power of universities rationally, constructing a flat academic organizational structure, remodeling the culture and innovative organizational system of universities, increasing the stock of the human capital, structure capital and relationship capital of universities, realizing intellectual capital appreciation, and enhancing university's core competitiveness, according to the demand that property rights characteristics and value attributes of intellectual capital are fully reflected.The study takes the internal relationship between intellectual capital and internal governance of universities as the major clue, and outspreads in accordance with the idea "theoretical basis - status quo analysis - institution innovation".First of all, this paper outspreads with the concepts of intellectual capital and university governance and related areas, to make the meaning of intellectual capital, governance and management structure of universities clear, and analyzes the internal relevance between intellectual capital investment and internal governance structure of universities, so as to lay the foundation for the demonstration. Then it analyzes the status quo and characteristics of the internal governance of China's universities since 1949, pointing out the existing problems of it and analyzes the internal governance structure of foreign universities and its characteristics. With the method of empirical analysis, combining with comparative analysis, it concludes that in order to reform and improve the internal governance structure of China's universities, we must first handle the relationship between universities and external systems and the relationships among various main bodies of interests properly, and then grasp the necessity of the checks and balances among the internal power organizations of universities. Finally, it proposes the approaches to construct the internal governance structure of universities including institution innovation, power configuration, structure optimization and culture reshaping through the construction of the internal governance structure of universities based on intellectual capital investment.This study has theoretical and practical significance in enriching and developing university management theories, in promoting the import and application of modern management theories in education researches and education management, and in establishing modern university system.
