In our country, land is artificially divided into two kinds, the state-owned landand the collective-owned land. According to Constitution Law、 Land ManagementLaw、Property Law and other laws related with real estate, all city’s land belongsto the state, rural and suburban areas of land is collectively owned by peasants.Collective-owned land can be converted into state-owned land, but the procedurecannot be executed vise versa. In our current system, collective-owned land can beconverted into state-owned land through a variety of ways, group members can alsotransfer rights on land with each other inside the collective. However, the artificialrules have set up barriers to the integration of land and its value implement. Collectiveenterprises and farmers have to face limits on both the application and the circulationof land. Collective-owned land is eager to stand on the same stage to compete withstate-owned land, so as to enter the market in a more market-oriented, professionalway. In2014the modification of Company Law has shown the trend of an easingaccess, the original provisions on funding is also worth researching. The loosing loopof amount and deadline on funding and a much more convenient way to fund suit theinevitable demand of a developing market. To explore the collective-owned land userights as the company funding does not only have a profound theoretical value, butalso contains practical significance of reform in this area.Based on current status of land use in our country, this paper focus onpossibilities and of company funding, discuss shareholders’ rights to perform andobligations to fulfill. Since this is a new area to be discussed, conclusions reached inthis paper yet need to be confirmed and improved through practice.
