The core competence of a enterprise relies on innovation, and intrapreneurs are very important persons in innovation. Therefore, the study on human capital evaluation of and motivationt of intrapreneurs is very important.Firstly, the related theories of intrapreneur are retrospectively surveyed. The spirit of intrapreneur and the difffence between the intrapreneur and related themes are analyzed. Accordingly, intrapreneur is defined and two kinds of intrapreneur that legitimate intrapreneur and managerial intrapreneur are studied.Secendly, the conception of intrapreneurial human capital is defined and a evaluation indexes system of intrapreneurial human capital is made based on AHP and Fuzzy, take a intrapreneur of enterprise A as a case study for the evaluation system.Finally, the incentive model of intrapreneurial human capital is set up. Two kinds of intrapreneur with different age and different educational background intrapreneurs have different partiality for incentive model. Conclusions are helpful to intrapreneurial human capital incentive.
