A Study On Corporate Governance Of State-owned Commercial Banks

At Present, in the system of finance in China, the operational efficiency of state-owned commercial banks(these are Bank of China, Agricultural Bank of China. Industrial and Commercial Bank of china and China Construction Bank) not only affects the operational situation and market competition of state-owned commercial banks in microcosmic, but also affects configuration efficiency of financial asset and the potentiality and quality of economy development in microscopic. Among the factors that affect the operational efficiency of state-owned commercial banks, the absence of effective corporate governance of state-owned commercial banks has been the one of the key factors. The innovation of state-owned commercial banks is the emphasis of economy innovation. The construction of effective corporate governance is the core of the innovation of state-owned commercial banks. Its success or failure determines the market competition of state-owned commercial banks. It has been proved to be right that only to construct effective corporate governance and modern commercial bank system, we can solve the problems of state-owned commercial banks. This is the choice to deal with foreign banks.Beginning with the theory about corporate governance, the paper summarizes the theory of corporate governance and commercial bank corporate governance, then analyzes the two international modes which are English-American corporate governance and Japan-Germany corporate governance. Through using the experience of popular corporate governance models of foreign commercial banks and explaining the typical examples, the paper summarizes the effective enlightenment to China. Then the author analyzes the history of state-owned commercial banks of china, based on this, the situation and the deficiency of the corporate governance of state-owned commercial banks are introduced. In the next part, aiming for the situation and many problems of corporate governance of state-owned commercial banks, the author puts forwards a plan that is fit for china to improve the corporate governance of state-owned commercial banks, and then from the inner and outside parts the author puts forwards some suggestions and methods on how to improve the corporate governance of state-owned commercial banks.
