Shanxi Merchants in Ming and Qing Dynasties have engaged in business operation for more than 500 years, and created a miracle in the history of Chinese business. Study on restraint mechanism of Shanxi Merchants in Ming and Qing Dynasties will help us get better insight into the specific operation mechanism of Shanxi Merchants in Ming and Qing Dynasties, explore the underlying causes of its glory, and then find useful references for better and constantly improving the restraint mechanism of the current economic operation. This has profound theoretical and practical significances for the efficient and safe operation of the current economy.Theoretical significance. Discussion on the meaning and substance of family and patriarchal systems of Shanxi merchants will facilitate the analysis on social structure; analysis on Shanxi merchants'economic crime explains that the economic behavior of the Shanxi merchants in Qing Dynasty are bound by law; probing into the bankrupt of the Shanxi merchants in Qing Dynasty points out that unlimited joint and several bankrupt liquidation is the constraint on economic behaviors of Shanxi merchants in Qing Dynasty, finds legal basis for economic behavior of Shanxi merchants, and provides examination on Shanxi merchants in Qing Dynasty with the legal basis.Practical significance. Study on Shanxi merchants in Ming and Qing Dynasties provide mirroring and reference for the scientific operation of China's real economic activities. The socialist market economy that China is now implementing is the economy ruled by law; laws check and balance economic vitality and integrity. The lack of good faith is not to say there are problems in economic operation, but rather that economic activities have not yet developed into a perfect legal economy. It is necessary for modern merchants to understand today's judicial system and legal norms relating to the economic field. Study on the economic crimes and bankrupt liquidation in the Qing Dynasty is to allow people today to understand the debtor-creditor relationship among Shanxi Merchants, make better all-round analysis on the economic behavior and economic operation code of Shanxi merchants in Ming and Qing Dynasties, so as to provide information for continuous improvement of China's socialist market economy and law-ruled economy.This article is divided into five parts: Ⅰ. Introduction. Mainly give an overview of the literature research, showing the purpose of research, research methods, research significance, research content and ideas;Ⅱ. Research on the integrity restraint mechanism of Shanxi merchants in Ming and Qing Dynasties. Probe into concept of Guan Gong, national laws, the patriarchal rules, and the role of joint and several liabilities on the integrity of Shanxi merchants in Ming and Qing Dynasties;Ⅳ. The relationship between patriarchal system and the employment in Ming and Qing Dynasties. Analyze the inherent relationship between feudal state law, the feudal family and patriarchal system, patriarchal employment, and shop regulations and regulations in Shanxi Bank among Shanxi merchants in Ming and Qing Dynasties;Ⅳ. Handling of economic crimes in Ming and Qing Dynasties and its restraint function. By collecting legal books, discussing the treatment of officials collusion, prohibited usury, embezzlement of the bank money, commercial fraud and other economic crimes of Shanxi merchants appeared in national laws of the Qing Dynasty, explains the restraint function of the national laws in the economic operation;Ⅴ. Discuss the Qing government's handling method of money shop bankrupt among Shanxi merchants, and analyze the legal liabilities of shop owner, manager, partner in the bankrupt liquidation of money shop.Through the five-part discussion, the paper aims at illustrating that the glory of Shanxi merchants in Ming and Qing Dynasties is produced under the common role of the feudal state law, the feudal patriarchal and family systems, strong concept of Guan Gong, savvy business know-how and Confucianism. Summarize and analyze that the successful experience and failure lessons of Shanxi merchants in Ming and Qing Dynasties are a useful mirroring treasure for the healthy and efficient operation of China's socialist market economy.
