This paper makes the research on knowledge transfer in university-industry cooperative innovation by applying theories and methods of project management, knowledge management, game theory and economics. This research mainly involves two aspects, one is the theoretical part, and the other one is empirical study. The theoretical part mainly researches on the game mechanism of knowledge transfer based on knowledge transaction pricing, and put forward the knowledge transfer game model as well as detailed explanation; the empirical study proves the effectiveness of the model. This research could enrich related theories and provide the theoretical basis for improving the effectiveness of knowledge transfer. Specifically, the first part is an introduction, elaborating on the source of the problem, the purpose and significance of the research, major contents of the research, the present research status at home and abroad, and major research methods; the second part contains the basic theories of knowledge transfer in university-industry cooperation. It also makes analysis on the motivation of university-industry cooperative projects, characteristics of different members, faced problems, the relationship between university-industry cooperation and knowledge, the means for knowledge transfer, and the process of implicit knowledge transfer;the third part makes research on the game mechanism of knowledge transfer in university-industry cooperation. Considering the mechanism of knowledge transaction pricing and influencing factors of implicit knowledge transfer, the paper treats the process of knowledge transfer as the Stackelberg Game, based on which, the paper put forward the game mechanism of knowledge transfer; the forth part establishes the game model and gives further explanation on this model so as to analyzes the process of knowledge transfer in university-industry cooperation. The results show that the university-part will accept the cooperation, only when the ratio of its marginal income to the marginal income of the corporation-part is higher than the investment elasticity of investment per unit. And the participation rate of university-part is negatively correlated with the marginal income of industry-part and positively correlated with its marginal income; the fifth part makes empirical research based on the game model and related theories and carries out the cycle from practice to theory and then back to practice; the sixth part summarizes the research contents and proposes suggestions for the further study.
