Trade association, as an important market governance mechanism in mature market economic system, is the bridge of communication between the government and the market, and plays an indispensable role in establishing and maintaining market order and trade.Trade association, as the third party personal governance mechanism, can carry on the governance to the market transaction behavior and is supplement to the national official third party governance mechanism. In the market economy, various governance mechanisms need to match to each other and nest, which can display the best system effect. The paper analyzes the development course of trade association under the background of transition period of our country. Then we discover that it is different from the third party personal government mechanism spontaneous evolution theoretically. And the main origin of this phenomenon is that our country is in the course of transition period from the planned economic system to a market economy system.This article, rooting on the trade association's different relation with enterprise when it displays different function, divides the trade association's market goal function into two kinds: the internal governance functions to the transactions of enterprise in the industry; the exterior governance function, as a representative of the overall enterprise-wide to promote the interests of the industry. Through analyzing trade association's governance function under the background of our country's transition period, we can find huge gaps between the objective functions and the realistic functions.
