With the enhancement on function of the human capital and the rising of its position, arrangement of the modern company's administration structure has paid attention that human capital enjoys some ownership and residue claim in enterprise more and more. Idiosyncratic managerial human capital which lies in the core position of human capital occupies a major position in the overall corporate production, and is the most costly resource for enterprise. That managerial human capital shares the residual claim is the important content of transformation of modern corporate production connotation. However at present it is normal that human capital especially managerial human capital was looked down on and underestimated in china. The property right of managerial human capital was not accepted by the enterprise. managerial human capital's residual claim was deprived. All of these result in necessarily high cost of running and bring on all kinds of corruption behaviors. The article discusses the relevant problem of human capital participating in the distribution of income of enterprises in term of previously theory and practice research.This dissertation looked back the economists' income theory and human capital theory. Then it demonstrated the logic precondition that entrepreneurial human capital participate in corporation earnings, discusses the questions of price-making of managerial human capital, and explored the development of executive compensation system in China, furthermore constructed the corporation profit distribution models that take managerial human capital as an important distribution factor with the long-run compensation incentive as the core model. The aim of this dissertation is to mobilize the managerial go-aheadism and enthusiasm, prevent a series of corruption behaviors that heavily exist in nation-owned enterprises in china.
