With the establishing of the market economy and the deepening of the reform in China, some deep contradiction emerged gradually from the economic structure and they become the problem which we should face and solve in the process of deepening the reforming. In lack of the scientific and efficacious selecting mechanism, incentive and restraint mechanisms for the managers in the State-owned Enterprise is the key reason why state enterprise can't walk out the predicament. It is also the difficulty and weakness for current theory probe. Focusing on the key problems of state enterprise reform, it has formed these three representative views-Competition, Property, Rights and Management in the theory field. But the common defect of this three views is that it ignores the entrepreneur system, especially the independence and importance of inne entrepreneur system. And they also can't solve the problem of state enterprise transform and reform, on the precondition of promoting the development of enterprises. From the point of my view, establishing the enterprise system which center on enterprisers' selecting mechanism is the key of the state enterprises' reform. It means that we should combine the continuous drive with the enterprisers' selecting, incentive and restraint mechanisms so to drive the reform and development of state enterprises. With the Marxism Economic Theory and the principles of CPC which relates to the state enterprises' reform as the guiding ideology, this thesis will analyzing the major disadvantages which exist in the current enterprisers' selecting mechanism and the reason for its forming from the view of state enterprisers with the property right theory. Meanwhile it also present a view—the incentive and restraint mechanisms of state enterprise will always be inefficacious under the selecting mechanism of administration system which is base on the roles exchanging system. The difficult problems existed in the enterprisers choosing, including the problems of property right system, confusion of governments' function, information-absent , dissymmetry of risk-taking, dependance of the reforming path, the contradiction between the invest of the special knowledge and the signal identification and so on. Analyzing these problems from the view of theory and practice is the precondition of selection the state enterprisers scientifically.
