The Research On Corporate Governance Structure Of Chinese State-owned Bank

Corporate governance structure is the most important organizational structure of the modern enterprise system. Its core business is to supervise the managers in management and safeguard the interests of shareholders and other parties of interests through a balance of power in enterprises. Good governance structure is a strong guarantee for China's commercial banks and financial markets to improve benefits and operation.This dissertation begins with fundamental theory of bank's corporate governance, and combines with practices of domestic and international banks. Utilizing methods of comparative analysis and empirical analysis, this dissertation discusses and analyses the situations and the existing problems in corporate governance of China's state-owned commercial banks and then offers specific advices to perfect corporate governance of state-owned commercial banks. First, this dissertation presents the achievements of researches on corporate governance of commercial banks from domestic and international researchers. Then it offers a summary of the latest research results and related theoretical basis from current domestic and foreign researchers; utilizing methods of comparative analysis, it analyzes three main corporate governance model of international banks, and summarizes the experiences for China's state-owned commercial banks to learn from in corporate governance reform. This dissertation analyzes the reform process and existing problems in reform of corporate governance structure of China's state-owned commercial banks. From the internal governance structure to the external governance structure, it analyzes the current status of China's state-owned banks. This dissertation points explicitly the realistic choice for the corporate governance structure of China's state-owned commercial banks, the consisting of corporate governance structure, building of Board , the model choice of the board of supervisors and the mode of incentive and restraint design of corporate governance structure. About the core of the dissertation, the building of effective corporate governance structure of state-owned commercial banks, it is based on optimizing equity structure, setting up a board of directors, a board of supervisors and the organizational balances framework among management. Meanwhile, considering the current situations in China, it offers operational suggestions to improve the market mechanism.Finally, the dissertation discusses further on external governance mechanism of corporate governance.
