This paper is divided into five parts.Introduction can also be considered as the first part,which brings toward the question .In general sense, the commercial banks has been considered as exogenous variable of research of corporate governance structure. However, the Asian Financial Crisis almost changed the way people view, it was found that the systemic risk and vulnerability of the banking system due to their own governance structure's imperfection. Like general companies, commercial banks also have the "commission-agent problem". Domestic and foreign academics began to research on corporate governance issues of commercial banks. Accordance to our nation's WTO accession commitments, at the end of this year, the transitional period for five years of financial sector will due. The competition between Chinese four major state-owned commercial banks and foreign banks will be more intense in the market. How to improve the corporate governance structure of commercial banks and how to enhance competitiveness is becoming an urgent issue. This can also be seen as the background of this paper.The second part is to discuss the definition, the theoretical basis and the general framework of corporate governance. Based on the OECD's corporate governance definition and then three well-known economists Wu JingLian, Qian and Zhang WeiYing's definitions, corporate governance is defined as a series of institutional arrangement to coordinate shareholders and other stakeholders, aiming at maximized value and sound operation, involving motivation, supervision and restraint, to handle business contracts for the system.
