The Pearl-river delta megalopolis is one of three the matured megalopolis in China. And the inter-city rail transportation which is under construction now will greatly enhance this developing trend. In this article, I mainly analyzed the convenient rail transportation would promote the industries and residents to move to the suburban area and that would result in a suburbanization process in the pearl-river delta megalopolis. And as the spatial structure changes, the industry system of the city will change with it, especially the functions of the core cities. Then, I point out the effect rail transportation will have on the pearl -river delta megalopolis from these aspects: the economical connection between cities, the scale economy, the cluster economy and the rise of the competitiveness of this whole region. From the purpose of industrial cooperation, I show my points of the future development of Guangzhou, Shenzhen, Foshan, Dongguan, Zhuhai and Zhongshan. What's more, I also give my advice that it is reasonable to adopt an investing combination of both government and private capital for the rail transportation, because it owns the characteristics of both social benefits and profitability.
