With the national proposal of three key strategies on regional economic development, inter-regional industry transfer has become the important means for the balance of regional economic development. The paper will research and analyze the relevant problems about conflict of interest during the process of inter-regional industry transfer.The past theory about industry transfer mainly focused on the problems involved in international trade and multination investment, on the basis of market fully-competition. Because of the underdevelopment of economic system , market competition , administrative segmentation etc., in China the inter-regional industry transfer has its own characteristics. Therefore the paper firstly summarize the theory on international industry transfer and then analyze the conflict of interest and corresponding action option during the process of inter-regional industry transfer from the perspective of both local government and enterprise.Firstly, the paper summarize the research about the relevant industry transfer theory home and abroad and analyze the current domestic inter-regional transfer ; Secondly , from the aspects of both local government and enterprise , analyze the influence of inter-regional industry transfer upon them; Thirdly the paper analyze the participants' behavior preference in terms of transfer industry, time and mode , so as to maximize own interest; Finally under the condition of insufficient supply compared to the large demand during the industry transfer, the paper put forward the practical choice for every participant and principal suggestion and implemental guide for the government and enterprise.
