With the establishment of market economic system and China's entry into WTO, state-owned enterprises are up against drastic competition. The design of the motivation system for top-important-managers is a significant job for the state-owned enterprises'reform. As for the design job, most state-owned enterprises have not received an obvious evolvement. So the research about the motivation system for top managers possesses of a high application value.In the new economic era, the formation and the advance of the strategic strength is a key factor for the success in the competition. So the research is from the new angle of the advance of the strategic strength.This paper gives a review about the relative research fruits abroad and at home for the top-managers'motivation, then reviews the history of the motivation reform and analyzes the causes on the problem. On the base of these jobs, the article puts forward with an analyzing frame about the strategy-performance evaluation-salary relation system.The core content is the idea and the steps of the design of the salary system and the performance evaluation system.The research on the salary system pays more attention to the design of the integrated salary package than the analyze of the advantage and disadvantages for single motivation form. The designed package concludes five elements with different function. The salary makeup can be changed according to the difference of the policy, the circumstance and the top managers'needs, so the applicability of the system is far ranging.As for the design of the performance evaluation system, five-dimension performance evaluation index system is brought forward, partly using the BSC theory and the EVA theory for reference. The five dimensions are financial, consumer, internal flow, staff and the innovation. And the source of the indexes is from the strategic objective. The system given at last is not an implement scheme but a design flow, but it also deserves to be applied into the reform of the motivation for the top executives.Totally, there are some new ideas for the relative theory research in the paper. But the most important contribution is the reference value for the reform of top executives'motivation in the state-owned enterprises and other enterprises.
