Corporate executive salary is always the focus of attention.In recent years, we have been researching on executives salary. The central figures are playing a vital rolein the development of the enterprise. Reasonable salary system will not only be able to attract and retain executives and closely link to the interests of executives with thedevelopment of enterprises, to motivate senior executives to work hard to achieve leaps and bounds of the enterprise, and conducive to narrowing the income gap, and improve the national income distribution system and build a socialist harmonious society.In this paper, according to the absorption and the complex of the literature and research,basing on institutional background of China’s state-owned enterprise executive incentive salary,analyse imperfect external governance structure leads to certain characteristics of executive salary. Regard the2004-2010Chongqing State-owned listed companies as samples, combining with the institutional background of executive salary in state-owned enterprises in Chongqing, we discuss the reform of executive salary in state-owned enterprises in Chongqing, the current situation and problems.The main content of the paper includes: First, review and comment commissionedagent theory and incentive contract theory at home and abroad. Second,analyzes Chongqing executives salary system for state-owned enterprises reform process, and clarityof the ins and outs of the reform of executive salary. Third, analyzes executive compensation system of the status quo of China’s state-owned enterprises, lists companies inthe use of state-owned enterprises in Chongqing comprehensive statistical analysis ofdata on the status of executive salary in state-owned enterprises in1999-2010, and analyses various aspects of executive compensation, executive stake, serving consumer, no salaried number of executive pay overall status of state-owned enterprises. Fourth, proposes characteristics and existing problems of state-owned enterprises executive salary system. Fifth, draws conclusions and countermeasures in this paper.
