With the rapid development of globalization of the world economy, the financial industry of china, especially the banking industry is meeting a big challenge. In particular, according to WTO commitments, China will call off all the restricts of the establishment form of the ownership, and management right to the foreign banks from 2006, and allow the foreign banks to provide RMB service to Chinese clients. The foreign banks are gaining equal status with domestic ones. In this condition, the Chinese banking industry will face a bigger challenge. In this background, this dissertation will study the incentive mechanism of top administrator of state-owned listed commercial banks of our county.Firstly, the dissertation analyzes the current status of the incentive mechanism of top administration of state-owned commercial banks of our country. These listed banks are from the state-run commercial ones, so they still have a lot of problems of the former state-run commercial banks in short time. The analysis, emphasis on the problems and the key defect of the incentive mechanism, as well as serious consequence of the old mechanism of top managers. Then, the dissertation seeks to the experience which can be used for reference and the lesson which we should learn through the researching on the incentive mechanism of the American and Japanese listed banks. On the basis of this research, combining of our country's reality, the dissertation establishes the all-round incentive mechanism of the managers of state-owned listed banks of our country in the theory of human, capital and modern incentive. Meanwhile, the dissertation studies several important points that we should pay attention to so as to ensure the establishment and implement of the incentive mechanism. The conclusion comes in the end of the dissertation. With the all-round incentive mechanism being brought in to effect, the managers will have a bread stage to show their talents, and do their own contribution to the development of the state-owned listed banks. Then, they can realize their self-worth while improving the corporate performance of the bank, making the state-owned listed banks of our country always succeed in the increasingly furious market competition.
