Unifying the new trade theory and the technical similar theory, this article thought the developed countries'R&D spillover contains two processes: The embodied R&D spillovers which through the high tech trade import and the disembodied R&D spillovers which through the technical similarity. These two processes should be the series connected relations, only when these two processes mutual unified, the R&D spillover can effective. Using this thought and referring to Coe& Helpman's trade spillover model and Jaffe's technical similarity spillover model, I constructed the new R&D spillover model. This model could descript R&D spillovers process more accurately, and the measure to be more scientific.Using this model and the related data, I have done an empirical study on the situation of developed countries'R&D spillover to our country manufacturing industry and calculated exactly the embodied R&D spillovers (ERS) and the disembodied R&D spillovers (DRS). After the analysis, we can discovered that ERS has very important relations to openness degree of import; while DRS relate to high tech department's R&D investment, when invests strengthens, the R&D investment structure of our country and developed countries more similar, the DRS will increase.Inspected relation of R&D spillovers and our country manufacturing industry R&D activity and the effects, we can discovered that there are remarkable correlation between the manufacturing industry's R&D investment and the R&D spillover, confirmed the theory of Spence: the R&D spillover can stimulate the host country to enlarge its R&D investment; we also discovered that the influence of R&D spillovers to host's R&D achievement is lag, also the R&D spillovers has very tangible effect to the patent output, while own country's R&D investment has the major function to the total factor productivity(TFP)enhancement.Finally put forward the policy proposal that: Develops the high tech import, promotes suitable technical introduction; Enlarges the R&D investment to the high tech industries, reduces the technical disparity, gets foreign technology from competes; Enlarges the basic research investment, promotes research institute and the universities research results marketable.
