Research On Corporate Governance Of Listed Banks In China

After Asian financial crisis, the corporate governance of commercial banks has drawn the international attention. Summarizing the experience and lesson in the development of China commercial banks, improving corporate governance has become a key task of the development of China commercial banks. The four biggest commercial banks conducted the reformation of joint stock sequentially, the key point of the reformation is to improve the structure of corporate governance. Up to now, China Construction Bank has been listed at Hongkong, China Bank has been listed at Hongkong and domestic stock exchange, China Industrial and Commercial Bank has also been listed at Hongkong and domestic stock exchange.Referencing to the research about corporate governance from China and abroad, combining the special represent of the corporate governance of commercial banks, the report mainly deals with the status and problem analysis on the corporate governance of listed banks of China by the way of case analysis on five listed banks in several aspects, that is the problem of shareholders' structure, the core problem of corporate governance: board of director, problem of prompting and restriction system, and problem of supervision system. It reveals that relativing to unlisted banks, the corporate governance of listed banks of China is mainly good, the frame of corporate governance has been basically established, but the effectively action of corporate governance is still awaiting for ulteriorly perfecting. Contraposing to these instances, and combining the analysis of our choice on the module of the corporate governance of commercial banks, it points out, through the adjustment of the stock structure, the improvement of inner governance structure and the strengthening of external environment, a module of corporate governance of listed banks has been established on the theory of correlated interest party, in which the governance's main body including shareholders, creditors and inner human resource, and the corporate governance system including the internal and external control and management.On the backgrounds of continued deepening the harvest of reformation and development of finance industry, the research of this report has reference not only to consummating the corporate governance of listed banks of China, but also to reforming the corporate governance of state commercial banks and other commercial banks. So it has importantly academic and practical significance.
