The enterprise alliances between international and region economy have begun carrying on strategic cooperation for technology innovation more than decades. Technical alliance, which is by means of corporation, regarding the reduction of exploration risk, exploration cost and management uncertainty as goals, has been the strategic choice of a good many of enterprises to adapt the keen competition.While bringing enormous income, various risks inside and outside of technical alliance often threaten enterprises frequently. The risk of alliance has received the sufficient attention on academy. The external environment-the peripheral risks between technological alliance and environment-of technological alliance's enterprises is similar, while the cooperative risks of each alliance are different as the differences of partners, cooperative extent and projects, etc. So, it is very essential to carry on the risk-evaluation within the technical alliance to guarantee steady operation. This thesis classifies risk factors existing in technological alliance as four classes: management risk, resource risk, ability risk and morals risk, on the basis that a large number of literature reviews. Also, it has carried on theory analysis of the technology innovation ability. On the basis of theory analysis, this thesis has proposed the models and assumptions, investigated some enterprises of Beijing and Dalian cities by interview and questionnaire, and analyzed the questionnaire result with the Stat. software SPSS11.5. Several important conclusions were drawn.The internal risks of two modes technological alliances-the equity mode and the contract mode-could be summarized four kinds' risks: management risk, resource risk, ability risk, moral risk, which have different impacts on technical alliances due to the different alliance modes: the technology innovation ability of equity alliance is impacted by the management risk most, next is resource risk; the technology innovation ability of contract alliance is impacted by the moral risk most, ability risk, management risk and resource risk subsequently. Finally, the paper gives suggestions about risk-elusion and risk-control aimed at two different alliance modes; which provides theoretical guidance for technological alliance to realize its goal of corporation better.
