In the new century the competition of car making industry has become relative freely. And the business model of dealers has changed into 4S business model. So the purpose of this thesis is that the most optimized benefits should be discovered between SHDZ and dealers. Through principal agent theory, game theory, sales theory, transaction fees, efficiency, division of labor, team work, marginal descending theory, this thesis analyzes SHDZ Co. LTD how to manage 4S dealers who selling the production of the car maker in the market.First through the cost and benefits analyzing in the different market if the car maker and the dealer will choose each other, what kinds of conditions limited them will be needed. And second the thesis follows if the car maker and dealer want to cooperate in long time, what they do need and expect. After that the last point is how the car maker can maintain the common benefits within so many dealers under the competing and cooperating situation. This point is analyzed by two ways. First the incentive compatible system should be designed by the car maker so that the dealers can exist in harmony. Second the dealers'sale abilities should be promoted by the training of the car maker and through competing of the market.From this thesis what can be concluded is that the well managed 4S dealers for the car maker and dealers system is very important and also is a blue sea to the car maker in the competing market. The analysis of this thesis for the similar companies is also useful. However though the business management is so a complicate work, it still has laws within arts as this thesis shows.
