The third-party logistics industry has been developing in the recent ten years in China, and Small logistics enterprises has contributed to most part of it. After joining the WTO, in the face of the threat that the international logistics enterprises will enter for the Chinese market, China's logistics enterprises need to improve itself to meet the challenges.To meet the constraint of the small size and low ability of the market competition, now, more and more dynamic logistics alliance that consist of several small logistics enterprises have come into being, and meet the needs of companys' Integrated Logistics Agency services in the way of the One-stop service. As the key member of the alliance, the third party logistics enterprises has been considered more important to make a more Fair and stable logistics value chain by means of constructing more reasonable contract and balancing the interest of the different members of the alliance.Based on principal-agent theory, this thesis has discussed how to design a Subcontract on the constraint of the needs of the logistics outsourcing enterprise. This contract can not only meet the subcontractor's individual rationality and incentive compatibility, but also make for the third-party logistics enterprises in the most advantageous option, thus enabling third-party logistics enterprises expected utility maximization. On the design of the subcontract, this thesis first raises and analyzes the single index subcontract model on the basis of Mirrlees and Holmstorm's 'parameter method of distribution function' and Zhang Weiying's 'parameter method of Principal-Agent Model'; then, based on that, raises multi-index contract model and conclude the best incentive contract. The last part of the article analyze the model result apply in a special logistics enterprise that has to make the decision in the Integrated logistics agency services.Three conclusions have been drawn in this thesis. First, based on the GameTheory, the article has made a precise analysis upon the relationship between the logistics outsourcing enterprise and third party logistics and subcontractor; Second, based on the contract between the logistics outsourcing enterprise and third party logistics, the thesis has raised and analyzed the single index subcontract model and concluded the best incentive contract; Third, based on the single index subcontract model, the thesis has also raised and analyzed multi-index contract model and conclude the best incentive contract.
