After the scholars holding different opinions debated impetuously in 1980s, on the distribution of right of the firm, reach filed in theory of the firm has developed into two main branches gradually: shareholder primacy theory vs. stakeholder theory. Shareholder primacy theory is mainstream of modern theory of the firm; the phenomenon is very palpable in Chinese academe. But stakeholder theory has been understood in western firm. study on coordinate the stakeholders'interests in corporate governance structure is an important academic field in contemporary theory of the firm. The dissertation researches the realization of stakeholders'interests and in Chinese resource firm and the implication in corporate governance.In our country, the corporation has been the main form for our State-Owned Enterprises (SOEs), and hecorporate governance has also been a very important problem. In our opinion, the reform of Chinese SOEs'Corporation Governance also depends on the stakeholders'co-governance mechanism. It makes a comparison between stakeholder theory and shareholder theory. It points out that stakeholder theory has provided a framework to analyse the internal complicated enterprises interest relationships within contemporary. Since the stakeholders invest different resources into enterprise, they definitely possess interests in the enterprise. Their interest claims are expressed through performance evaluation system. In the end, this paper established an index system of performance evaluation on the base of stakeholder theory. In order to increase the practicality of evaluation system, the paper makes some researches on 1) how to set the weight of indicators, 2) how to quantify qualitative indicators, 3) how to eliminate the influence of various indicators' dimensions. By doing these, the paper settles the problem of syncretic basis. Finally, an empirical study case is presented.
