The State-owned enterprises are the pillar of China's national economy, the state-owned enterprises are playing a pivotal role in China's economic operation. With the deep reform of the economic system and marketization, China's state-owned enterprises has undergone a profound transformation in the forms of organization, structure and operation mechanism, in which some deep-rooted problems of state-owned assets management system are gradually revealed. Thus, how to build a market economy model of incentives is the key to stimulate the human potential, which enhances the core competitiveness of enterprises, businesses and the success of state-owned assets. This requires our analysis and summary. Based on Maslow's Hierarchy of Needs Theory, commissioned~agency theory and the human capital theory as a guide, using qualitative and quantitative research, the combining of theory and practice , with the analysis of foreign enterprises operating incentive mechanism and the characteristics of Enlightenment, and China's state-owned enterprise managers incentive mechanisms and the historical evolution of lessons learned and the analysis of China's key state-owned enterprises operating incentive mechanism status, problems and the reasons for this. Thus, Based on China's national conditions, I give some ideas about how to improve China's state-owned enterprise managers' incentive mechanism.
